I. COMPANY IDENTIFICATION AND PURPOSE

EVOLFY S.A. DE C.V., located at Avenida Insurgentes Sur No. 605, 8th Floor, Interior 802, Colonia Nápoles, Alcaldía Benito Juárez, C.P. 03810, Mexico City, is the entity responsible for operating the website https://pystacklabs.com/ (hereinafter, the “Site”), through which it markets and provides mobile and web application design and development services (hereinafter, the “Services”).

These terms and conditions (hereinafter, the “Terms”) govern access, navigation, and use of the Site, as well as the contracting of Services by any user (hereinafter, the “Client”). By accessing the Site or contracting any of the Services, the Client expressly, voluntarily, and irrevocably accepts all the terms herein, as well as the Privacy Notice available on the Site. If the Client does not agree with any provision, they must refrain from accessing, navigating, or contracting services on the Site.

II. DESCRIPTION OF SERVICES AND AVAILABLE PACKAGES

PYSTACK’s Services consist of a set of predefined packages, each with specific scope, functionalities, deliverables, and prices, available on the Site. The main packages include:

  • Stack Starter: Idea definition session, objectives, target audience, basic feature outline, and feasibility recommendations.
  • WireWave: Sketches for 2 screens, simple navigation flow, and one round of adjustments.
  • ProtoPulse: Wireframe, clickable prototype, feedback, and one correction.
  • UI Orbit: Visual design for 8 screens with colors, buttons, typography, and a light style guide.
  • Pixel Forge: Visual design, navigable prototype, simple transitions, and two feedback rounds.
  • App Reboot: Basic user research, wireframes, visual design for 15 screens, and a full style guide.
  • Motion Spark: Audit of existing app, redesign of key screens, optimized flow, and new prototype.
  • Iconic Stack: Animation design for buttons, transitions, and micro-interactions.
  • Proto Max: Set of icons, illustrations, and graphics ready for app use.
  • Investor Edge: Visual prototype close to the final product, usability testing with 3–5 users, and a recommendations report.
  • LaunchPad: Complete screen design, interactive prototype, presentation mockups, and style guides for investors.

Additionally, PYSTACK offers the option of customized services, tailored to the Client’s specific needs, subject to a separate commercial proposal and explicit approval by both parties.

Each package includes a detailed description, number of screens, workflow, review rounds, deliverables, estimated timelines, and price. This information is available on the Site and may be modified by PYSTACK at any time without prior notice.

III. PRICES, PAYMENT METHODS, AND TAXES

3.1 Price Structure
All Service and package prices are expressed in Mexican Pesos (MXN) and published on the Site. The current Value Added Tax (VAT) in Mexico is 16%, which will be added to the total invoice amount payable by the Client.

The total amount to be paid is the sum of the package base price plus the applicable VAT (16%). PYSTACK will provide a clear breakdown of the base amount, VAT, and total before processing payment.

3.2 Accepted Payment Methods
PYSTACK accepts:

  • Credit or debit cards: Through secure and certified payment platforms, with PYSTACK neither storing nor having access to the Client’s banking data.

The Client is responsible for verifying payment method availability, applicable fees by banks or payment gateways, and any additional costs that may arise.

3.3 Payment Validation and Confirmation
The Service is considered effectively contracted only when payment is validated and confirmed by PYSTACK and/or the corresponding bank or payment gateway. Until payment is confirmed, PYSTACK will not begin Service execution.

Once payment is validated, PYSTACK will send a confirmation email to the Client, including purchase details, estimated delivery schedule, specific package conditions, and contact information for follow-up.

3.4 Price Changes and Promotions
PYSTACK reserves the right to modify Service and package prices at any time. Changes take effect upon publication on the Site. Promotions, discounts, or special offers are subject to availability and apply only during the specified period. Clients are responsible for verifying the current conditions at the time of contracting.

IV. CONTRACTING PROCESS AND CLIENT ELIGIBILITY

4.1 Eligibility
To contract PYSTACK’s Services, the Client must:

  • Be a natural person over 18 years old or have the legal age required to enter binding contracts under Mexican law.
  • Have sufficient legal, administrative, and financial capacity to assume the obligations of contracting.
  • Be a resident of Mexico or have an established address in Mexican territory, or be in jurisdictions where the provision of Services is legal.
  • If acting on behalf of a legal entity, the Client guarantees they have all necessary authorizations to legally bind the represented entity.

4.2 Client Registration and Information
To contract Services, the Client must provide complete, truthful, accurate, and updated information via the Site’s registration or contact form, including:

  • Full name or company name
  • Valid and verifiable email
  • Contact phone number
  • Full address for billing and correspondence
  • Additional information required by PYSTACK

The Client must keep their information updated and notify PYSTACK of any changes. Accuracy of information is the Client’s responsibility. PYSTACK may request additional documentation, perform verifications, or conduct checks to confirm Client identity and comply with legal obligations.

4.3 Package Selection and Contracting

  • The Client selects the package that best suits their needs.
  • For customized services, the Client communicates specific requirements; PYSTACK will prepare a tailored proposal.
  • Selection implies acceptance of the terms, scope, duration, number of revisions, and specific package conditions.
  • The Client will receive a confirmation email once payment is validated.

V. SITE USAGE CONDITIONS
5.1 Authorized Use
The Client may access and navigate the Site only for legal purposes and in accordance with these Terms. The Client agrees to use the Site responsibly, respecting third-party rights, Mexican law, and applicable international standards.

5.2 Restrictions
The Client must refrain from:

  • Actions that damage, interrupt, disable, block, or affect the Site’s operation, security, or integrity
  • Using software, bots, scripts, or automated tools that interfere with Site operation
  • Accessing unauthorized systems, servers, or accounts; hacking or social engineering attempts
  • Reproducing, duplicating, copying, downloading, or using Site content for commercial purposes without PYSTACK’s express permission
  • Collecting or extracting user information, emails, or sensitive data for commercial, advertising, or fraudulent purposes
  • Publishing false, defamatory, obscene, violent, discriminatory, or illegal content
  • Embedding the Site on third-party sites without authorization
  • Modifying or removing Site content, metadata, or trademarks
  • Registering under false, outdated, or multiple identities
  • Using PYSTACK trademarks, logos, or trade names without express written consent

VI. SERVICE EXECUTION, DELIVERY, AND REVIEW
6.1 Schedule and Phases
Upon payment confirmation, PYSTACK executes the Service according to the package scope and schedule, notifying the Client of:

  • Start date
  • Project phases or milestones
  • Estimated delivery dates for progress and preliminary versions
  • Deadlines for Client review and adjustment requests

PYSTACK will use best efforts to meet timelines; however, delays due to force majeure, technical impossibility, delayed Client responses, or circumstances beyond PYSTACK’s control are not attributable to PYSTACK.

6.2 Review and Adjustments
Each package includes a specific number of review rounds. Adjustment requests must be submitted in writing via PYSTACK’s contact email. Changes beyond the package scope require a separate quotation and approval.

6.3 Acceptance of Deliverables
Acceptance of final deliverables indicates Client approval. Post-acceptance claims will only be considered for evident defects under the applicable Warranty Policy.

6.4 Suspension or Termination Causes
PYSTACK may suspend or terminate Services in cases of:

  • Client breach of obligations
  • Non-payment or significant payment delays
  • Client conduct affecting Site or PYSTACK security/reputation
  • Technical, legal, or force majeure impossibility
  • Express Client request

In case of suspension due to Client fault, PYSTACK may retain deliverables with no refund.

VII. INTELLECTUAL PROPERTY AND COPYRIGHT

7.1 PYSTACK Ownership
All Site content—including texts, images, logos, sketches, wireframes, prototypes, code, illustrations, style guides, animations, production files, and other materials—is the exclusive property of EVOLFY S.A. DE C.V. or used under license.

7.2 Client Rights
The Client acquires no intellectual property rights through Site access or Service contracting. The Client receives a limited, non-exclusive, revocable license to use deliverables internally and non-commercially. Transfer of rights for customized services must be expressly agreed in writing and subject to full payment.

7.3 Prohibitions
The Client may not:

  • Reproduce, publish, distribute, modify, or commercially use deliverables without permission
  • Reverse engineer, decompile, or attempt to derive source code
  • Use content to compete with PYSTACK or for illegal purposes

Violations may result in civil and criminal legal action and compensation claims.

7.4 Third-Party Rights
The Client agrees to respect third-party intellectual property included in Services or the Site and guarantees submitted content does not infringe third-party rights.

VIII. CLIENT OBLIGATIONS AND RESPONSIBILITIES

8.1 General Obligations
The Client must:

  • Use the Site and Services according to Mexican law, these Terms, and good business practices
  • Provide complete and accurate information
  • Make payments as agreed
  • Respect PYSTACK and third-party intellectual property
  • Avoid conduct harmful to the Site, PYSTACK, or other users

8.2 Content Responsibility
The Client is solely responsible for the content, data, or materials provided and must ensure they do not violate laws or third-party rights. PYSTACK is not responsible for the legality, accuracy, or completeness of Client-provided materials.

8.3 Indemnification
The Client agrees to indemnify and hold PYSTACK harmless from any claims, damages, costs, or legal fees arising from:

  • Violation of these Terms
  • Breach of applicable law
  • Third-party rights violations
  • Unauthorized Site or Service use
  • Client-provided content

IX. WARRANTIES AND LIMITATION OF LIABILITY
9.1 Disclaimer of Warranties
PYSTACK does not guarantee that:

  • The Site is secure, error-free, or free of malware
  • The Site is uninterrupted or fully functional
  • Deliverables meet specific Client expectations
  • Site content is accurate, updated, legal, or complete
  • Services will generate specific economic or commercial results

Services are provided “as is” and “as available.” The Client assumes all risks from Site access and Service use.

9.2 Limitation of Liability
PYSTACK is not liable for:

  • Direct, indirect, incidental, consequential, or punitive damages
  • Data or system loss
  • Lost profits or expected savings
  • Reputation, brand, or business relationship damage
  • Site interruptions, technical failures, or access issues
  • Misuse of deliverables
  • Third-party actions, including hacking
  • Force majeure events

9.3 Liability Cap
PYSTACK’s total liability will not exceed the amount paid by the Client for the Service in the 12 months preceding the claim. If no payment was made, liability is zero.

9.4 Technical Responsibility
The Client is responsible for:

  • Correct installation, configuration, and use of deliverables
  • Data backups
  • Compatibility verification
  • Protecting account credentials

X. MODIFICATIONS TO TERMS
PYSTACK may modify, update, or remove any part of these Terms at any time without notice. Changes take effect upon publication. Continued use of the Site or contracting Services implies acceptance.

XI. GENERAL PROVISIONS

11.1 Validity
Terms are effective indefinitely until a newer version is published.

11.2 Headings
Section headings are for reference only and do not affect interpretation.

11.3 Partial Invalidity
If any provision is invalid or unenforceable, the remainder remains effective.

11.4 Relationship
These Terms do not create a partnership, franchise, employment, or agency. The Client acts as an independent party.

11.5 Legal Compliance
The Client guarantees compliance with applicable Mexican laws when using the Site or Services.

XII. JURISDICTION AND DISPUTE RESOLUTION

These Terms are governed by Mexican law, particularly laws in Mexico City. Parties submit to the jurisdiction of Mexico City courts, waiving any other jurisdiction.

Before judicial actions, parties agree to attempt resolution through:

  • Direct communication
  • Mediation before authorized entities
  • Arbitration under Mexican rules if agreed in writing
